These Terms and Conditions govern the submission, transmission, review, and execution of documents provided to or by Nova Farms, Inc. (“Nova Farms,” “Company,” “we,” “us,” or “our”). By signing, returning, submitting, or otherwise transmitting any document to Nova Farms, the submitting party (“Sender”) agrees to the following terms:


1. Purpose


These Terms and Conditions apply to all documents, forms, agreements, certifications, acknowledgments, questionnaires, disclosures, attachments, and related materials sent to Nova Farms for review, approval, execution, recordkeeping, onboarding, compliance, operational, administrative, or business purposes.


2. Accuracy of Information


The Sender represents and warrants that all information, documents, signatures, certifications, and supporting materials submitted to Nova Farms are true, correct, complete, and current to the best of the Sender’s knowledge.


The Sender agrees to promptly notify Nova Farms in writing of any change, error, omission, expiration, or material update affecting any submitted document.


3. Authority to Sign


The person signing or submitting any document to Nova Farms represents and warrants that they are duly authorized to act on behalf of the individual, company, or entity identified in the document, and that such signature or submission creates a binding obligation where applicable.


Nova Farms may rely on such authority unless notified otherwise in writing.


4. Electronic Signatures and Copies


Nova Farms may accept documents executed and transmitted electronically, including by PDF, scanned copy, email, or approved electronic signature platform. Electronic signatures, scanned signatures, and copies shall be deemed valid and enforceable to the same extent as original handwritten signatures, to the extent permitted by applicable law.


A photocopy, scan, or electronic copy of a signed document may be relied upon as an original for all business purposes.


5. Review and Acceptance


Receipt of a signed or submitted document by Nova Farms does not, by itself, constitute acceptance, approval, or execution by Nova Farms unless and until the document is countersigned, confirmed in writing, or otherwise formally accepted by an authorized representative of Nova Farms, where such acceptance is required.


Nova Farms reserves the right to reject, request revisions to, or decline to execute any document in its sole discretion.


6. No Modification Without Written Approval


No alteration, handwritten change, strikeout, addition, or modification to any Nova Farms form, agreement, or related document shall be binding upon Nova Farms unless expressly accepted in writing by an authorized representative of Nova Farms.


Any unauthorized change may result in rejection or delay of the document.


7. Supporting Documentation


Nova Farms may require additional records, certifications, identifications, insurance documents, compliance materials, tax forms, or other supporting information before accepting, processing, or relying on any submitted document.


Failure to provide requested supporting materials may delay processing or result in non-acceptance.


8. Confidentiality of Submitted Materials


Documents submitted to Nova Farms may contain confidential or proprietary information. Nova Farms will use commercially reasonable care in handling such materials for legitimate business, legal, compliance, audit, and operational purposes.


However, the Sender acknowledges that Nova Farms may disclose submitted documents:

• to its employees, officers, advisors, auditors, insurers, lenders, service providers, or legal counsel on a need-to-know basis;

• as required by law, subpoena, court order, regulatory requirement, or governmental request; or

• as reasonably necessary to enforce rights, verify compliance, or complete business operations.


9. Record Retention


Nova Farms may maintain copies of submitted or executed documents in physical or electronic form for its records, compliance, audit, legal, operational, and administrative purposes for such period as Nova Farms deems appropriate or as required by law.


10. No Waiver


Failure by Nova Farms to enforce any provision of these Terms and Conditions shall not constitute a waiver of that provision or of any other right.


11. Limitation of Reliance


Nova Farms is entitled to rely on the completeness, accuracy, and authenticity of any document received from the Sender. Nova Farms shall not be responsible for losses, delays, or issues arising from inaccurate, incomplete, outdated, fraudulent, altered, or unauthorized submissions provided by the Sender or third parties acting on the Sender’s behalf.


12. Compliance With Law


The Sender agrees that all submitted documents and related actions shall comply with all applicable federal, state, and local laws, rules, regulations, and industry requirements.


13. Governing Law


These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict of law principles.


14. Venue


Any dispute arising out of or relating to these Terms and Conditions or the submission or execution of documents with Nova Farms shall be brought in the state or federal courts located in Maricopa County, Arizona, and the parties consent to the jurisdiction of such courts.


15. Severability


If any provision of these Terms and Conditions is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.


16. Entire Understanding


These Terms and Conditions apply generally to document submission and execution unless superseded by a specific written agreement executed by Nova Farms and the other party. In the event of a conflict, the terms of the fully executed specific agreement shall control.


17. Acknowledgment


By signing, submitting, transmitting, or returning documents to Nova Farms, the Sender acknowledges that they have read, understood, and agreed to these Terms and Conditions.
